Terms of Service

1. Acceptance of Terms

By accessing, downloading, installing, or using ZYNQOR trade manager software ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), including all policies referenced herein. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Service.

Your continued use of the Service following any modifications to these Terms constitutes your binding acceptance of such changes.

2. Description of Service

ZYNQOR provides trade copying software for MetaTrader 4 and MetaTrader 5 platforms. The Service allows users to copy trades between multiple trading accounts. ZYNQOR is a software tool only — it does not provide financial advice, investment recommendations, trading signals, or brokerage services of any kind.

3. Eligibility

• You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use this Service
• You must have the legal capacity to enter into binding agreements
• You represent that you are not located in a jurisdiction where the use of this Service would be prohibited by law

4. User Responsibilities

• You are responsible for maintaining the confidentiality and security of your account credentials, including your license key
• You are solely and exclusively responsible for all trading decisions and their financial outcomes
• You must comply with all applicable local, national, and international laws and regulations regarding trading activities
• You acknowledge that trading results may vary due to broker execution, market conditions, internet connectivity, and other factors beyond ZYNQOR's control
• You agree not to hold ZYNQOR responsible for any discrepancies between source and follower account performance

5. Acceptable Use Policy

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Modify, adapt, translate, or create derivative works based on the Service
• Share, resell, sublicense, rent, lease, or distribute your license key to any third party
• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to bypass, disable, or circumvent any license verification, security, or access control mechanisms
• Use automated tools to scrape, crawl, or overload ZYNQOR's servers, APIs, or infrastructure
• Impersonate ZYNQOR or its representatives, or misrepresent your affiliation with ZYNQOR
• Use the Service in a manner that could damage, disable, or impair its functionality

Any violation of this Acceptable Use Policy may result in immediate termination of your account and license without refund.

6. Risk Disclosure

IMPORTANT: READ THIS SECTION CAREFULLY.

Trading foreign exchange ("Forex"), contracts for difference ("CFDs"), and other leveraged financial instruments on margin carries an extremely high level of risk and may not be suitable for all investors. The high degree of leverage can work against you as well as for you. You could sustain a total loss of your initial margin funds and be required to deposit additional funds to maintain your positions.

Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk appetite. There is a possibility that you could sustain a loss of some or all of your invested capital; therefore, you should not invest money that you cannot afford to lose.

Past performance is not indicative of future results. ZYNQOR does not provide financial advice, investment advice, tax advice, or legal advice. The Service is provided as a technology tool only. Any use of the Service for trading is undertaken entirely at your own risk.

ZYNQOR makes no representations or guarantees regarding the accuracy, timeliness, or completeness of trade execution. Network latency, broker execution policies, slippage, requotes, and other factors may cause differences between source and follower account results.

7. Subscription, Payments & Billing

• Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan selected
• All payments are processed securely through Paddle, our authorized payment processor
• Prices are subject to change with reasonable notice; existing subscriptions will honor their current billing cycle rate
• You are responsible for all applicable taxes associated with your subscription
• Failure to maintain a valid payment method may result in suspension of your account
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

8. Refund Policy

ZYNQOR offers a 7-day money-back guarantee subject to the following conditions:

• Refund requests must be submitted within 7 calendar days of the original purchase date
• Refunds are available for first-time purchases only — repeat purchases, renewals, and upgrades are non-refundable
• Refunds will not be issued if the account shows substantial use of the Service (defined as copying more than 50 trades or connecting more than 5 accounts during the refund period)
• Each customer is entitled to a maximum of one (1) refund across all accounts and purchases
• Refunded amounts may exclude third-party payment processing fees, which are non-recoverable
• Refunds are processed within 5–10 business days and returned to the original payment method
• Accounts terminated for violation of these Terms are not eligible for any refund

9. Intellectual Property

All content, features, functionality, software code, algorithms, designs, logos, trademarks, trade names, and documentation of the Service are the exclusive property of ZYNQOR and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal or internal business use during the subscription period. This license does not convey any ownership rights in the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• ZYNQOR, its owners, directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of trading capital, loss of business opportunities, business interruption, or any financial losses arising from or related to your use of (or inability to use) the Service
• ZYNQOR's total aggregate liability arising from or related to these Terms or the Service shall not exceed the total amount actually paid by you to ZYNQOR in the twelve (12) months immediately preceding the event giving rise to the claim
• ZYNQOR shall not be liable for any losses arising from: broker execution issues, market volatility, internet connectivity problems, power outages, hardware failures, or any third-party services

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

ZYNQOR does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any results obtained through the Service will be accurate or reliable; (d) any defects in the Service will be corrected; or (e) the Service will be compatible with any particular broker, trading platform, or operating system configuration.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZYNQOR, its owners, directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your trading activities and their outcomes
• Any third-party claims arising from your use of the Service
• Any content or data you transmit through the Service

13. Force Majeure

ZYNQOR shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, government actions, embargoes, sanctions, fire, flood, earthquake, power outages, internet service provider failures, telecommunications failures, cyberattacks, DDoS attacks, broker API changes, broker server downtime, regulatory changes, or any other force majeure events.

14. Termination

ZYNQOR reserves the right to suspend, restrict, or permanently terminate your access to the Service at any time, with or without cause, with or without notice, including but not limited to situations where:

• You violate any provision of these Terms
• You engage in fraudulent, abusive, or illegal activity
• You attempt to circumvent license verification or security measures
• Your payment method fails or is disputed
• ZYNQOR discontinues the Service or any part thereof

Upon termination, your license to use the Service is immediately revoked. ZYNQOR shall not be liable to you or any third party for any termination of your access to the Service. No refund shall be issued for terminations arising from violations of these Terms.

15. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered in accordance with the arbitration rules of the International Chamber of Commerce (ICC).

• The arbitration shall be conducted by a single arbitrator
• The language of arbitration shall be English
• The arbitral award shall be final and binding upon both parties
• CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in any class action lawsuit or class-wide arbitration against ZYNQOR

16. Governing Law

These Terms shall be governed by and construed in accordance with the principles of international commercial law, including the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable, and the UNIDROIT Principles of International Commercial Contracts. In matters not covered by international conventions, the laws of the jurisdiction of ZYNQOR's principal place of business shall apply.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and ZYNQOR regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.

19. No Waiver

The failure of ZYNQOR to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by ZYNQOR.

20. Changes to Terms

ZYNQOR reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. Material changes will be communicated by updating the "Last Updated" date at the top of this page. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
